General Terms and Conditions (GTC) - Conditions générales d'utilisation et de vente

The present General Terms and Conditions of Sale and Use (hereinafter referred to as "GTC/T&C" or "Conditions") govern all commercial relations between MycoLink (hereinafter referred to as "MycoLink") and its professional clients (hereinafter referred to as "the Client"). MycoLink develops and markets electronic measurement and data acquisition equipment, software subscriptions, and associated services. MycoLink products are technical instruments whose performance is defined by technical data sheets. The responsibility for the suitability for a specific application use case lies exclusively with the Client.

1. Scope and acceptance

The present Terms apply to any order placed via the website mycolink.ch, by email, or by signed contract. Any order or signature of a commercial document implies full and unconditional acceptance of these Terms. The Client's general purchasing conditions do not apply unless expressly and in writing accepted by MycoLink.

These Terms are exclusively addressed to professional clients (laboratories, companies, research institutions). MycoLink reserves the right to refuse any order from a non-professional without having to justify its decision.

2. Products and services

MycoLink offers:

Electronic equipment — sensor boards, data acquisition modules, accessories (e.g.: MycoLink D1, MycoLink DeepNode)

Software subscriptions — access to the data platform and MycoLink dashboard

Custom services — hardware configuration, research integration, advanced technical support, and consultancy

Product descriptions, technical specifications, and prices are provided for informational purposes and may be updated without notice. The technical datasheets serve as the contractual reference for the characteristics of the equipment.


3. Suitability for Use — Client's Responsibility

3.1 Scope of technical sheets

The MycoLink technical datasheets describe the operating conditions and performance of the equipment under standard and controlled usage conditions. These technical datasheets do not constitute a guarantee of operation in a specific application use case of the Client.


3.2 Exclusive responsibility of the Client for the use case

It is the Client's sole responsibility to:

Verify the suitability of the equipment for their specific application before any purchase

Ensure the compatibility of the equipment with their deployment environment (physical, chemical, electronic conditions)

Validate the results obtained within the framework of their application

Comply with the regulatory constraints applicable to their sector (food, pharmaceutical, medical, etc.)

MycoLink cannot be held responsible for an unsuitable, insufficient, or erroneous result resulting from use in an application context not validated by MycoLink.


3.3 Pre-sales technical advice

MycoLink can provide technical advice before or after the sale, via email, phone, or any other channel. This advice is given in good faith, for informational purposes, based on the information provided by the Client. It does not constitute a commitment to results, a guarantee of suitability for use, nor a service provision as defined in Article 8 of these Terms.

Any technical support exceeding the scope of standard after-sales service (as defined in Article 8) must be subject to a separate service contract.


4. Orders and formation of the contract

Orders can be placed via the website mycolink.ch or by written agreement (email or contract). The contract is formed upon receipt of the written order confirmation from MycoLink.

MycoLink reserves the right to refuse or cancel any order, particularly in the event of product unavailability, payment issues, or suspicion of fraudulent activity.


5. Price and payment

All prices are quoted in Swiss francs (CHF) and are exclusive of VAT, unless otherwise stated. Applicable taxes and delivery charges will be indicated at the time of order confirmation.

Payment is due upon order confirmation, unless otherwise agreed in writing. MycoLink accepts the following payment methods: bank transfer, credit card (to be completed).

In the event of late payment, MycoLink reserves the right to charge late payment interest at a rate of 5% per annum and to suspend access to software services until full payment is made.


6. Delivery

MycoLink ships worldwide from Switzerland. Delivery times are indicative and not guaranteed. MycoLink cannot be held responsible for delays caused by carriers, customs, or any events beyond its control.

The risk of loss or damage is transferred to the Customer upon handover to the carrier. MycoLink recommends that the Customer inspect their order upon receipt and report any damage within 48 hours.

7. Software subscriptions and data platform

7.1 Access to the platform

Access to the MycoLink platform is provided on a subscription basis, billed monthly or annually depending on the chosen plan. The Client may cancel their subscription at any time; the cancellation will take effect at the end of the current billing period, with no refund for the remaining period, unless otherwise agreed.


7.2 Data collected by devices

By default, the data collected by MycoLink devices is hosted on MycoLink's servers. The Client acknowledges and accepts this mode of operation. Alternative hosting arrangements (client server, third-party cloud) may be agreed upon by separate service contract.

MycoLink may access the Client's data strictly for technical support or debugging purposes, with the prior consent of the Client. MycoLink does not sell the Client's data and does not share it with third parties, except as required by law.


7.3 Continuité et évolution du service

MycoLink makes reasonable efforts to ensure the availability of the platform but does not guarantee uninterrupted access. Planned maintenance will be communicated in advance whenever possible.

MycoLink reserves the right to change subscription plans, features, or pricing with 30 days' notice. In the event of a substantial change, the Client may terminate their subscription without penalty.


7.4 Suspension ou arrêt de la plateforme

MycoLink reserves the right to suspend or permanently cease all or part of the software platform, particularly for technical, economic, or strategic reasons. In the event of a permanent cessation, MycoLink commits to informing the Client with a minimum notice period of 90 days and to allowing them to export their data in a standard format before the service is closed.

MycoLink cannot be held responsible for the consequences of such a suspension or cessation on the Client's activities, beyond the prorated refund of unused prepaid subscriptions.


8. Technical support and after-sales service

8.1 Inclusive support

Any order of equipment includes, during the warranty period (see article 9):

The replacement of equipment recognised as defective according to the warranty conditions

Email support for questions regarding initial setup and standard use of the product

Assistance with basic setup (verification of initial configuration)


8.2 Outside the scope of the included support

Do not fall under the included support and must be subject to a separate service contract:

The integration of hardware into the Client's IT system or process

The development or adaptation of scripts, APIs, or third-party software

Application consulting (validation of suitability for the use case, data interpretation)

On-site support

Any recurring or long-term technical intervention

MycoLink reserves the right to charge for out-of-scope interventions according to its current rates, after prior agreement with the Client.

9. Guarantee

The MycoLink hardware products are covered by a limited warranty of 12 months from the date of delivery against manufacturing defects under normal use conditions, as defined in the technical datasheets.

This warranty does not cover:

Damage caused by misuse, unauthorised modification or repair

Normal wear and tear

Damage caused by environmental conditions exceeding the product specifications

Any damage resulting from use outside the scope described in the technical datasheets

For any warranty claims, the Customer must contact MycoLink within the warranty period, providing proof of purchase and a description of the defect.

10. Intellectual Property

The entirety of the designs, firmware, software, algorithms, documentation, and branding elements associated with MycoLink products remains the exclusive intellectual property of MycoLink. No licence or transfer of intellectual property rights is granted to the Client beyond what is strictly necessary for the use of the acquired product or service.

The Client agrees not to engage in reverse engineering, decompilation, copying, or redistribution of any MycoLink product or software without prior written permission, regardless of the nature — open or closed — of the material.


11. Limitation of liability

To the fullest extent permitted by Swiss law, MycoLink's total liability to the Client shall not exceed the amount actually paid by the Client for the product or service that gave rise to the claim in the 12 months preceding the event.

MycoLink shall not be liable for indirect, incidental, or consequential damages, including but not limited to: loss of data, loss of revenue, loss of profit, business interruption, or reputational damage.

This limitation applies particularly to the following situations:

Inappropriate measurement results for an application context not validated by MycoLink

Decisions made by the Client based on data from MycoLink devices

Regulatory non-compliance related to the use of equipment in a regulated sector

Interruption or cessation of the software platform under the conditions set out in Article 7.4


12. Data Protection

MycoLink processes personal data in accordance with its Privacy Policy, available at mycolink.ch/privacy. By accepting these Terms, the Client acknowledges and agrees to the terms of this Privacy Policy.

The Client is solely responsible for the legality of the data they collect via MycoLink devices in the course of their activities, particularly with regard to applicable regulations (GDPR, Swiss DPA, etc.).


13. Regulatory Compliance

MycoLink products are general-purpose measurement and data acquisition instruments. Their use in regulated sectors (food, medical, pharmaceutical, environmental, etc.) is the sole responsibility of the Client.

The Client agrees to:

Verify the compliance of the use of MycoLink products with the regulations of their sector

Obtain all necessary certifications, approvals, or authorisations before any deployment in a regulated context

Not use MycoLink products as critical measurement or control devices without prior validation within their own quality framework

MycoLink does not guarantee that its products meet the specific regulatory requirements of any given sector, unless expressly stated in a service contract.


14. Applicable law and jurisdiction

The present Conditions are exclusively governed by Swiss law, to the exclusion of conflict of law rules and the Vienna Convention on International Sale of Goods (CISG).

Any dispute arising from these Conditions or in connection with them shall be subject to the exclusive jurisdiction of the courts of the canton of Fribourg, Switzerland.


15. Modifications of the Terms

MycoLink reserves the right to modify these Terms at any time. The Client will be informed of any substantial changes by email or via the website. Continued use of MycoLink's products or services after notification constitutes acceptance of the updated Terms.
